1. Acceptance of Terms

By accessing or using Kaliun ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These terms apply to all users, including account holders, team members, and portal guests.

2. Description of Service

Kaliun provides a cloud-based construction management platform that includes CRM, project management, proposals, invoicing, client portal, and related features. The Service is provided on a subscription basis.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Subscription & Billing

Subscriptions are billed monthly or annually in advance.
All fees are non-refundable except as required by law or as stated in our refund policy.
We reserve the right to change pricing with 30 days notice. Price changes will take effect at the start of your next billing cycle.
Free trials automatically convert to paid subscriptions unless cancelled before the trial period ends.

5. Your Data

You retain ownership of all data you enter into the Service ("Your Data"). We do not claim ownership of Your Data. You grant us a limited license to use Your Data solely to provide the Service.

You may export Your Data at any time. Upon account termination, we will retain Your Data for 30 days before deletion, unless otherwise required by law.

6. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose
Upload malicious code, viruses, or harmful content
Attempt to gain unauthorized access to the Service or other users' accounts
Reverse engineer, decompile, or disassemble any part of the Service
Use the Service to send unsolicited communications (spam)
Share your account credentials with unauthorized third parties

7. API Usage

If you access the Service via our API, you agree to use the API in accordance with our API documentation and rate limits. We reserve the right to throttle or suspend API access if usage patterns are abusive or negatively impact other users.

8. Intellectual Property

The Service, including its design, code, branding, and documentation, is owned by Kaliun and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service.

9. Service Availability

We target 99.9% uptime but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice. We are not liable for downtime caused by factors beyond our reasonable control.

10. Limitation of Liability

To the maximum extent permitted by law, Kaliun's total liability for any claim arising from the Service is limited to the amount you paid in the 12 months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages.

11. Termination

You may cancel your subscription at any time. We may terminate or suspend your account for violation of these terms. Upon termination, your right to use the Service ceases immediately.

12. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated terms.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
